This Workshop Agreement is between Diemeco ("we", "us"), which operates Diemeco, and the person or business that creates a Workshop profile ("you", the "Workshop"). It is in addition to our Terms of Service, Privacy Policy, Refund & Credit Policy, Content & Upload Policy and Confidentiality & Intellectual Property Policy. By creating a Workshop profile you accept it, and we keep a dated record of that.
1. What we do, and what we do not
We provide a platform that shows you requirements that match your profile, lets you unlock them with credits, and lets you message and send quotations to the Client. We do not make, inspect, transport or guarantee any work, and we are not a party to any contract between you and a Client. We do not promise that any requirement will suit you, that a Client will reply, or that you will win work.
2. Your profile must be true
- You confirm that the information you give, including your business name, city, machines, the jobs you take, the materials you work with, minimum order, GSTIN and PAN, is accurate, that you are entitled to give it, and that you will keep it up to date.
- You must not claim machines, capacity, certifications or experience you do not have. Matching and Client trust depend on it.
- A "GST verified" badge means our team compared the details you gave with the government GST portal at that time. It is not a guarantee of quality and it can be removed if the details change or were wrong.
- You must have the right to run the business you describe and to deal with the Clients and requirements you unlock.
3. Credits and plans
- You unlock a public requirement by spending one credit. For a confidential requirement, asking for access is free, and one credit is charged only if the Client approves. New Workshops receive free trial credits.
- Plans, prices (inclusive of GST where it applies), credits and validity are shown when you buy. Credits expire with the plan and have no cash value. They cannot be transferred or sold.
- When a credit is returned to you, and when money is refunded, is set out in the Refund & Credit Policy. Referral and welcome credits are given on the terms shown in the app, and we may withhold or reverse them if we reasonably believe they were obtained by abuse, such as inviting yourself or a business you control.
- You must confirm your email address before buying a plan, because invoices are sent there. Payments are processed by Razorpay.
4. Client information and files
- Everything a Client shares with you through Diemeco (requirement details, drawings, CAD files, messages and contact details) is confidential. You may use it only to decide whether to quote and, if you are chosen, to do that job.
- You must not copy, keep, share, publish, sell, reverse-engineer, or use it to make parts for anyone else, or to compete with the Client. You must not photograph or capture watermarked views to get round the protection, and you must not try to bypass a view-only setting, a watermark, a rate limit or any other safeguard.
- You may download a file only if the Client has allowed it. If you are not chosen for the job, or the job ends, you must stop using the material and delete the files you downloaded, unless the law requires you to keep them.
- These duties continue after the job and after you leave the platform. See the Confidentiality & Intellectual Property Policy.
5. Quotations and jobs
- A quotation is your own offer. Price, delivery time, quality, warranty, payment terms, taxes, transport and everything else are agreed only between you and the Client. You are responsible for your own work, your own contracts and your own taxes and invoices to the Client.
- Send only quotations you are willing and able to honour for the validity period you state. Do not send a quotation to win the Client and then change it without a genuine reason such as a change to the requirement.
- We do not collect or hold money for a job. You and the Client settle payment directly.
- If a Client marks a requirement as assigned to you, that is the Client's choice. If you disagree about a job, use the process in the Dispute policy.
6. Conduct
- Be honest and courteous. Do not harass, threaten, spam or mislead anyone. Do not post fake reviews or try to manipulate ratings, including through accounts you control.
- Do not put phone numbers, email addresses, links or social handles in messages. The platform blocks them so that both sides are protected. A Client may choose to share their number in a chat.
- Do not use the platform for anything unlawful, for items or work prohibited by Indian law, or for anything in breach of the Content & Upload Policy.
- Do not use another person's account, share your sign-in code, or try to attack or overload the platform.
- Each person may have one Workshop profile for one real business. Opening several profiles to gain credits or matches is not allowed.
7. Reviews
Clients may review your work. Reviews are the Client's opinion. We may remove a review that breaks our rules, but we do not remove a review only because it is critical. You may report a review you believe is false.
8. Suspension and ending
We may warn, restrict, suspend or close your account, and remove content or badges, if you break this Agreement or our rules, if we reasonably suspect fraud or misuse, or if the law requires it. We will tell you why where we can and you may write to us to respond. You may delete your account at any time from your Profile. Unused credits are forfeited on deletion, except where the Refund & Credit Policy says they are returned or refunded. Duties about confidentiality and intellectual property continue.
9. Responsibility
- To the fullest extent the law allows, we are not liable for the outcome of any job, for what a Client says or does, for a Client's failure to pay you, or for indirect or consequential loss or lost profit. Our total liability to you for any claim about the platform is limited to the amount you paid us in the 12 months before the claim arose. Nothing here limits liability that cannot be limited by law.
- You will compensate us and hold us harmless against claims, losses and costs (including reasonable legal costs) that arise from your breach of this Agreement, your misuse of a Client's files or information, your false statements, or your infringement of anyone's rights.
10. Personal data
When a Client shares personal data with you (for example a name or a number in a chat), you receive it only for that job. You must use it lawfully, keep it secure, and delete it when you no longer need it. Our handling of your own data is described in the Privacy Policy.
11. Changes, law and contact
We may update this Agreement. If a change is significant we will tell you in the platform, and using the platform after the change means you accept it. This Agreement is governed by the laws of India, and the courts at Rajkot have exclusive jurisdiction, subject to any right you have that cannot be waived.
